According to the Contract Law of People's Republic of China (PRC) and relevant laws and regulations, both parties have reached the following terms through friendly negotiation on the basis of equality and mutual benefit for common compliance.
1. Party A transfers the property right of the kindergarten (certificate number) located at the provincial and municipal road number to Party B with its own school license. For the residential area, the annual right to use the house and ancillary facilities (see the relevant licenses, house lease contract documents and property facilities list in the annex to this contract for details), with a total price of RMB 425,000.
2. Party A guarantees that the transferred kindergarten license is complete, the property rights are clear, and it meets the requirements of national laws.
3. Before the signing of this contract, Party B has paid 5,000 yuan to Party A as the down payment. If Party B reneges, the deposit will not be refunded. If Party A reneges, it shall return 4 samples of kindergarten transfer contract.
Four. Party B shall pay RMB10,000.00 Yuan to Party A within 3 days from the date of signing this contract. After Party A completes all formalities for the change of kindergarten property rights, Party B will transfer the transfer money to the bank account provided by Party A in one lump sum.
5. After the transfer contract comes into effect, Party A shall be responsible for all property rights replacement procedures within three months. If Party A fails to complete the property right replacement procedures as scheduled, Party B has the right to terminate the contract and ask Party A to refund the 1 ten thousand yuan paid in the previous period, or choose to continue the business on its own without paying the balance until Party A completes the property right replacement procedures.
6. After the completion of the property right replacement procedure, neither party may propose to terminate the contract halfway. If Party B terminates the contract, the 10000 yuan paid by Party B in advance will not be refunded. When Party A terminates the contract, it shall not only return the 10000 yuan paid by Party B in the previous period, but also compensate the other party for the liquidated damages of 10000 yuan and other losses caused thereby.
7. On the date of transfer of property rights, Party A shall hand over all the information of teachers and students in the kindergarten (including the roster, employment contract and nursery agreement) (house maintenance contract) at the same time.
Eight, after the transfer of property rights, Party A has the obligation to cooperate with Party B in the first semester to do a good job of communication and coordination between relevant departments and parents during the transition period.

I. List of Goods and Amount:

2. Requirements for the quality of the goods and the conditions and time limit for the supplier to be responsible for the quality.
1. The goods provided by the supplier must be brand-new products, which meet the national quality and performance testing standards or product ex-factory standards. At the same time, it conforms to the relevant quality and safety regulations stipulated by national laws and regulations.
2. The supplier shall provide the warranty period of 1 year for the supplied goods. During the warranty period, the supplier shall guarantee the quality problems caused by non-user human factors according to the warranty commitment.
3. Time, place and method of delivery.
Supply all goods within 5 working days from the date of signing the contract. The supplier is responsible for free installation, and the supplier guarantees that the goods will not be damaged.
4. The supplier shall provide the buyer with instructions and precautions for the use of the goods free of charge.
5. Payment method and time.
On the date of signing the contract, the buyer shall pay the total payment to the seller in one lump sum, that is, RMB 9,880.00 Yuan and Qian Lu Yuan only. It can be directly transferred by the buyer to the account designated by the supplier, or it can be paid in cash, with the supplier's receipt or transfer voucher as the voucher.
6. Liability for breach of contract.
1. If the buyer refuses the goods without justifiable reasons, the buyer shall pay the supplier a penalty of 5% of the total payment.
2. When the payment is overdue (subject to the date of the draft or check drawn by the bank), a late fee of 5% of the total overdue payment shall be paid every 1 day.
3. If the variety, model, specification and quality of the goods delivered by the supplier do not meet the standards stipulated in the contract, the buyer has the right to refuse, and the supplier shall be responsible for compensating the losses caused to the buyer due to the refusal.
4. If the supplier fails to deliver the goods on time, the supplier shall pay the buyer a penalty of 5% of the total payment for goods every 1 day.
7. During the execution of the contract, if either party fails to perform the contract due to force majeure, it shall immediately notify the other party and send the certificate issued by the relevant authorities as soon as possible, then the performance period of the contract may be extended, and the extension period is the same as that affected by force majeure. If the force majeure event lasts for 30 days or more, both parties shall decide whether to continue to perform the contract through friendly negotiation.
8. In case of any dispute over the quality of goods, the appraisal result of the technical supervision bureau of the product origin or its designated technical quality appraisal unit shall prevail.
Nine. Any dispute arising from this contract shall be settled through friendly negotiation; The two sides should consult each other. If negotiation fails, bring a lawsuit to the people's court of the place where the contract is signed.
X. Matters not covered in this contract shall be settled by both parties through consultation and handled in accordance with the relevant provisions of the Contract Law. The supplementary agreement and annexes to this contract are an integral part of this contract and have the same legal effect as this contract.

6. This contract lasts for one year and takes effect from the date of signature by both parties.
Once signed, this contract is legally binding. Both parties must fully perform their obligations under the contract, and shall not arbitrarily change or unilaterally terminate them. In case of force majeure, the other party shall be informed in writing in time to change or terminate the contract.
